| The new Commercial Register Act enters into force on August 17th |

| - From Monday (17. 8.) it will be possible to reserve a company name before its establishment, but the costs of establishing a company will also increase. A new Commercial Register Act comes into force, replacing the old legislation from 2003. According to the Ministry of Justice (MoJ) of the Slovak Republic, the aim of the changes is to contribute to reducing the administrative burden on entrepreneurs and to reflect current technical developments and requirements.
The administrative burden is to be reduced by linking the Commercial Register with other public registers, when a change in data recorded in the reference register is automatically recorded in the Commercial Register. One of the changes is also the introduction of legally binding data published online on the Commercial Register website. In practice, it will no longer be necessary to prove the recorded data in business transactions, before business partners or public authorities.
At the same time, in order to increase the credibility of data in the commercial register, the law stipulates that the founding document of each legal form of a commercial company must be drawn up in the form of a notarial deed or a contract authorized by a lawyer. This was criticized by the opposition SaS, because fees for a lawyer or notary will increase costs for companies. The involvement of a notary or lawyer will also require several changes during the life of the company.
The new legislation also introduced the possibility of registering a commercial company in the commercial register without first obtaining a trade license for certain types of free trades. The law also amended the verification of the proposed business name so that it is not identical to the designation of a public authority. The restriction on the so-called chaining of companies for single-member commercial companies has also been abolished.
The new legislation maintains the dual system of entering data into the commercial register through the registration court and registrars (notaries). The application for registration will be submitted exclusively via an electronic form and must be authorized by the proposer or his representative. Legal representation in the registration procedure is limited to a lawyer, notary or employee of the applicant. The possibility of free choice of notary remains, while the registration cannot be carried out by the notary who prepared the registration documents.
