The Energy and Industrial Holding (EPH) has signed an agreement with Enel Produzione, which will allow it to acquire the remaining 50% stake in Slovak Power Holding BV (SPH). The latter owns 66% of the shares of Slovenské elektrárne, while the Slovak Republic owns the remaining 34%. EPH will thus become 100% owner of SPH and will have a majority stake in the power plants through this company. This was announced on Wednesday by EPH Marketing and Communications Director Daniel Častvaj.
The companies agreed on the transaction in 2020 as part of amendments to the original contract from December 2015. It stipulated the gradual sale of 100% of SPH to EPH. The first phase was completed in July 2016, when EPH acquired 50% of SPH from Enel Produzione. The remaining 50% is to be transferred as part of the settlement of the second phase.
"Slovenské elektrárne perfectly complements EPH's production portfolio, as it is a zero-emission electricity producer. From a management perspective, our current focus has not changed. Our priority is the completion of the fourth unit of the Mochovce nuclear power plant," said EPH board member Jan Špringl.
According to the agreement, EPH will pay EUR 150 million for 100% of the share capital, which EPH has already paid as part of the settlement of the first phase of the sale. The agreement contains provisions according to which EPH will guarantee the repayment of credit lines provided by the Enel group to Slovenské elektrárne before the transaction is completed. These credit lines total EUR 970 million, together with unpaid interest, which amounted to EUR 158 million as of the end of November.Slovenské elektrárne is the largest electricity producer in Slovakia and produced a total of 21.66 terawatt hours (TWh) of electricity in 2023. The net electricity supply was a total of 19.57 TWh. Following the shutdown of the last coal-fired power plant in Vojany in the first quarter of 2024, SE currently produces electricity only from carbon-free sources.odkaz na stránku |
