| The Slovak Business Register is to undergo a fundamental reform. The new legislation should simplify business, increase the credibility of data and connect the business register with other state databases. This follows from the government's draft law on the Business Register, which the National Council (NR) of the Slovak Republic moved to the second reading on Wednesday. The new legislation is to replace the current law from 2003.
According to the explanatory memorandum, the change is to contribute to reducing the administrative burden on entrepreneurs and reflect current technical developments and requirements. The intention is to create a comprehensive substantive and procedural approach that will concentrate most of the rules for maintaining the business register in one legal regulation.
The new wording of the law expands the possibilities of connecting the business register with other, especially reference registers, which should reduce the number of administrative steps for registered persons. This is to achieve the "once and for all" principle and reduce the burden on the business environment through effective cooperation between public authorities.
From an organizational and procedural point of view, the dual system of entering data into the commercial register through the registration court and the notary is maintained. A new feature is the possibility of reserving the company's business name even before its establishment. "In connection with the first registrations of commercial companies, the possibility of submitting a proposal for registration is being introduced even without documenting a trade license. In the case of a clearly specified range of free trades, the company's trade license will be created by registering in the commercial register," explained the submitter in the explanatory memorandum.
At the same time, in order to increase the credibility of data in the commercial register, it is proposed that the founding document of each legal form of a commercial company be drawn up in the form of a notarial deed or a contract authorized by a lawyer.
The law is proposed to come into effect from 17 August 2026 due to the connection with the development and functional requirements of the new commercial register system financed from the recovery and resilience plan.odkaz na stránku |
